Health Care Originals Terms of Service – All Programs

1. Acceptance of These Terms

These Terms of Service (“Terms”) govern your participation in the programs (the “Program”) operated by Health Care Originals. By registering for, accessing, or participating in the Program, you agree to be bound by these Terms. If you do not agree, do not participate in the Program.

If you are participating on behalf of an organization or other entity, you represent that you have authority to bind that entity to these Terms.

2. Definitions

  1. “Participant” / “you”: An individual who registers for, accesses, or participates in the Program.
  2. “Services”: Any coaching, training, workshops, mentoring, materials, events, and/or support offered through the Program.
  3. “Content”: Materials provided by the Program or Participants, including text, audio, video, documents, templates, and recordings.
  4. “Platform”: Any website, application, learning management system, meeting tool, or communication channel used for the Program.

3. Eligibility and Enrollment

You must meet any stated eligibility requirements for the Program (for example, age, location, prerequisites, or professional qualifications). Program-specific requirements, if any, will be described in Program materials or during enrollment.

You agree to provide accurate, current information during enrollment and to keep your information up to date. We may refuse, suspend, or terminate participation if information is inaccurate or if eligibility requirements are not met.

If the Program includes minors, a parent or legal guardian must review and accept these Terms on the minor’s behalf and is responsible for the minor’s participation and conduct.

4. Program Description and Scope

The Program provides guided self management education for chronic conditions like asthma, chronic obstructive pulmonary diseases. Specific Services, schedules, deliverables, and expectations may vary by cohort, track, or offering.

We may provide general information, guidance, or education. Unless explicitly stated in writing, the Program is not intended to provide legal, medical, mental health, tax, or financial advice, and no professional-client relationship is created.

No Guarantee of Outcomes

Participation does not guarantee any particular result (including employment, remission, or other outcome). Results depend on individual effort and factors outside our control.

5. Participant Responsibilities and Conduct

You agree to participate respectfully and safely. You will not engage in behavior that disrupts the Program or harms others.

Acceptable Use

  • Follow all Program rules, facilitator instructions, and applicable laws.
  • Use the Platform only for Program-related activities.
  • Do not harass, discriminate, or threaten other participants, staff, or guests.
  • Do not share or upload content that is unlawful, defamatory, infringing, or harmful (including malware).
  • Do not record sessions or capture screenshots without prior written permission (unless required by law or expressly permitted).

Account and Access

If you receive login credentials, you are responsible for maintaining their confidentiality and for all activity under your account. Notify us promptly of any unauthorized use or security incident.

6. Scheduling, Attendance, and Communications

Schedules, formats (in-person, virtual, hybrid), and attendance expectations will be communicated in advance when possible. You are responsible for having the necessary equipment, internet access, and environment to participate in virtual components.

We may send Program-related communications by email, text message, or through the Platform, including updates, reminders, and administrative notices. You consent to receive these communications; standard message and data rates may apply where relevant.

Cancellations and Rescheduling

We may reschedule or cancel sessions due to facilitator availability, safety issues, technical problems, or other circumstances. When feasible, we will provide notice and reasonable alternatives.

7. Fees, Payments, and Refunds (if applicable)

If the Program requires fees, the amount, payment schedule, and what is included will be described during enrollment or in an order form. Self Paying customers are required to pay in advance of the Program. A customer that is offered participation in the Program from a Sponsor may only be required to pay a maintenance fee beyond the Sponsored Program duration should they decide to continue using the Program.

Late or Failed Payments

If payment is required and not received when due, we may suspend access to the Program until payment is received, or terminate participation.

8. Privacy and Confidentiality

We collect and use personal information as described in our privacy policy: https://healthcareoriginals.com/privacy-policy/ By participating, you acknowledge that Program communications and the Platform may involve processing of personal data.

Confidentiality Within the Program

The Program may involve sharing sensitive information among participants. You agree to treat other participants’ non-public information as confidential and not disclose it outside the Program without permission, except as required by law.

Recordings

Some sessions may be recorded for quality, training, accessibility, or participant access. We will provide notice when recording. By attending a recorded session, you consent to being recorded. If you do not wish to be recorded, contact us in advance for available alternatives.

9. Intellectual Property and Use of Materials

Unless otherwise stated, the Program and its licensors own all rights, title, and interest in Program materials, including trademarks, branding, and curriculum. We grant you a limited, non-exclusive, non-transferable license to use materials for your personal, internal participation in the Program.

Restrictions

  • Do not reproduce, distribute, sell, sublicense, or publicly share Program materials without prior written permission.
  • Do not remove copyright, trademark, or proprietary notices.
  • Do not use Program materials to create or offer a competing program.

Participant Content

If you submit Content (such as assignments, feedback, or posts), you retain ownership of it. You grant Health Care Originals, Inc. a non-exclusive, worldwide, royalty-free license to use, display, and reproduce your Content as necessary to operate and improve the Program (for example, to provide feedback, administer cohorts, and evaluate outcomes). If you do not want your Content used for Program improvement or anonymized reporting, contact us at info@healthcareoriginals.com

10. Third-Party Services

The Program may use third-party services (for example, video conferencing, learning platforms, or payment processors). Your use of third-party services may be subject to their terms and privacy practices. The Program is not responsible for third-party services, including outages, data handling, or policy changes.

11. Disclaimers

THE PROGRAM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTH CARE ORIGINALS, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Program will be uninterrupted, error-free, secure, or that defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTH CARE ORIGINALS, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTH CARE ORIGINALS, INC.’s TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE PROGRAM WILL NOT EXCEED THE AMOUNT YOU PAID TO HEALTH CARE ORIGINALS, INC. FOR THE PROGRAM IN THE [3] MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER NLESS A DIFFERENT CAP IS REQUIRED BY LAW).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Health Care Originals, Inc. and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your participation in the Program, (b) your violation of these Terms, or (c) your violation of any law or third-party rights.

14. Suspension and Termination

We may suspend or terminate your participation immediately if we reasonably believe you have violated these Terms, created a safety risk, misused the Platform, or engaged in conduct harmful to others or the Program. Where appropriate, we may provide notice and an opportunity to cure.

You may stop participating at any time. If fees apply, refunds (if any) will be handled under Section 7.

15. Changes to the Program or These Terms

We may modify the Program (including content, schedule, or delivery methods) to improve it or respond to operational needs. We may also update these Terms from time to time. If changes are material, we will provide notice by posting the updated Terms or by other reasonable means.

Your continued participation after the effective date of updated Terms constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.

Informal Resolution

Before filing a claim, you agree to contact us at info@healthcareoriginals.com and provide a brief description of the issue and the relief sought. We will work with you in good faith to try to resolve the dispute.

Venue

If a dispute is not resolved informally, you agree that any legal action will be brought in the state or federal courts located in Monroe County, NY, and you consent to personal jurisdiction and venue there.
